Terms and conditions for the purchase and use of Vilnius Pass tourist card

Definitions

1.1 Buyer – the buyer of Vilnius Pass tourist card, a natural or legal person who purchases Vilnius Pass card for the User online on the govilnius.lt website or on Vilnius Pass App.

1.2. User – the user of Vilnius Pass card, a natural person whose name is entered by the Buyer when purchasing the card online or on Vilnius Pass App and is connected to Vilnius Pass card. The Buyer and the User may, but do not have to, coincide.

1.3 Contract – the sale-purchase contract concluded between the Seller and the Buyer for the purchase and use of Vilnius Pass.

1.4 Vilnius Pass – means a physical or electronic card in the mobile application Vilnius Pass App with a QR code, which entitles the User to use all Vilnius Pass offers in accordance with the General Terms and Conditions.

1.5. Seller – public institution Go Vilnius, legal entity code 123641468, registered at Gynėjų g. 14-111, LT-01109 Vilnius, Lithuania, which is the developer and seller of Vilnius Pass product.

1.6. Vilnius Pass partners – companies, Vilnius city or state institutions that allow the card User to use the goods or services of the partners free of charge or at a discounted price in a museum, at a place of attraction, during the excursion, in a recreational facility, café, restaurant, shop, etc., which they manage and for which they are responsible in relation to  all the circumstances related to their product or service.

1.7 Stripe Checkout means Stripe, a payment company, legal entity number IE513174, registered at The One Building, 1 Grand Canal Street Lower, Dublin 2, Co. Dublin, Ireland, which is responsible for the payment processing and management environment service provided by the payment processing and management environment service used to pay for the purchase of Vilnius Pass on the website govilnius.lt or on the mobile application Vilnius Pass App.

1.8 General Terms and Conditions – the present Terms and Conditions for the general use and purchase and sale of Vilnius Pass.

1.9 Privacy Policy – the privacy policy applicable to the processing of personal data by the Seller.

Conditions of Sale and Purchase

2.1 The relationships between the Buyer and the Seller, communication and the use of Vilnius Pass shall be subject to the General Terms and Conditions, which shall govern the use of the Vilnius Pass sales system integrated on the govilnius.lt website or the mobile application, as well as the purchase and use of Vilnius Pass.

2.2 The General Terms and Conditions shall come into force when the Buyer places an order for a Vilnius Pass online on the govilnius.lt website or on the Vilnius Pass App and the Seller confirms the Buyer's order to the Buyer's e-mail address provided by the Buyer, by sending a confirmation e-mail or by a notification on the mobile application. By placing an order for Vilnius Pass, the Buyer agrees to these General Terms and Conditions and the Privacy Policy. Upon acceptance of the General Terms and Conditions, the Contract between the Buyer and the Seller shall be deemed to be signed. If the Buyer does not accept the General Terms and Conditions, the Contract cannot be concluded and the Buyer cannot purchase Vilnius Pass.

2.3 If any provision of the General Terms and Conditions is fully or partially invalid or unenforceable, the validity of the remaining provisions of the General Terms and Conditions shall not be affected.

2.4 The General Terms and Conditions have been drafted in the Lithuanian language and translated into other languages. In the event of disputes or disagreements, the Lithuanian version will be used to resolve them.

2.5 Disagreements arising between the Parties in relation to the Contract or any other legal relationship relating thereto shall be settled by negotiation or in accordance with the procedure established by the laws of the Republic of Lithuania.

2.6 The United Nations Convention on Contracts for the International Sale of Goods shall not apply to the purchase of Vilnius Pass.

2.7 The price of Vilnius Pass card on the govilnius.lt website or on the Vilnius Pass App is inclusive of all applicable taxes. All taxes and amounts payable shall be specified prior to placing Vilnius Pass order and concluding the Contract.

Seller's rights, duties and obligations

3.1 The Seller may terminate the purchase of Vilnius Pass if there are grounds to suspect that the Buyer is acting in bad faith.

3.2 The Seller shall not be liable for payment disruptions caused by third parties.

3.3 The Seller shall not be liable for non-delivery of Vilnius Pass if the Buyer has incorrectly entered his/her data or if the cause of the failure is beyond the control of the Seller.

3.4 The Seller shall not be liable for lost, destroyed, damaged or stolen Vilnius Pass cards, shall not issue duplicates and shall not reimburse the costs incurred in the purchase of the lost Vilnius Pass card.

3.5 The Seller shall have the right to change the Terms and Conditions of Sale and Purchase. All changes shall enter into force upon their publication on the website.

3.6 The Seller shall not be liable for any changes in the opening hours, ticket prices, etc. of any Vilnius Pass Partner.

3.7 The Seller shall not be liable for the content or organisation of the services, exhibitions and/or events of any Vilnius Pass Partner, their quality or any shortcomings thereof, the conduct of business or activities, restrictions imposed by public authorities on the activities of Vilnius Pass Partners and any direct or indirect losses, damages and losses incurred by the Buyer or the User as a result thereof. The Seller shall not be liable for any limitations or changes in the Vilnius Pass Partner's activities due to COVID-19, state of emergency or other unforeseen circumstances (e.g. insolvency of the Vilnius Pass Partner, other force majeure circumstances). No compensation will be offered to the Buyer if, after the purchase of the card, prices are reduced to take account of reduced discounts, offers or other monies.

3.8 All liabilities in respect of goods or services or other activities provided by Vilnius Pass partners shall be borne by the respective Vilnius Pass partners. Any complaints, requests or claims regarding the activities of the Vilnius Pass partners can and must be made directly to the respective Vilnius Pass partners. In such cases, the terms and conditions of supply of goods or services of the respective Vilnius Pass partners shall apply to such claims or complaints.

3.9 In the event that the cooperation or contractual relationships between the Seller and a Vilnius Pass partner is terminated, the Seller shall notify the govilnius.lt website and/or the Vilnius Pass mobile app as soon as possible of the withdrawal of the relevant Vilnius Pass partner from the cooperation and the terms of such withdrawal, if any. In such cases, the Vilnius Pass shall no longer apply to the withdrawn Vilnius Pass partner and the goods or services provided by it. Subject to such withdrawal terms, the Buyer agrees that the scope of the benefits and discounts provided by Vilnius Pass may change at any time without prior notice to the Buyer.

3.10 In the event that a complaint or claim by the Buyer or the User does not relate to the acts, omissions or risks of the Vilnius Pass partners and/or there is fault or liability of the Seller to the Buyer or the User, such liability of the Seller shall be limited and shall not exceed 50 % (fifty percent) of the amount paid by the Buyer for the Vilnius Pass card.

Rights, duties and obligations of the Buyer

4.1 The Buyer undertakes to accept and comply with the General Terms and Conditions.

4.2 The Buyer confirms that he/she is at least 18 years of age and of legal capacity, or is an agent of a legal person, who has full rights to purchase Vilnius Pass online or on the mobile application and to enter into obligations on behalf of that legal person.

4.3 The Buyer should be aware that some Vilnius Pass partners may be closed on public holidays, Mondays and/or Tuesdays. It is the Buyer's responsibility to check the availability times of the goods or services offered by Vilnius Pass partners.

4.4 Vilnius Passes purchased online or on the mobile application shall be sent to the email address provided by the Buyer. If the Buyer does not receive a confirmation email about the completion of the purchase within one working day after the completion of the purchase, the Buyer shall contact [email protected].

4.5 The Buyer must provide correct data in connection with the purchase.

4.6 The Buyer shall have the right to withdraw from the Contract within 30 days of the conclusion of the Contract and to claim a refund if the Buyer or the User has not activated the Vilnius Pass within the specified period.

4.7 The Buyer confirms his/her understanding that the money back guarantee applies only to Vilnius Pass cards purchased from the Seller. Vilnius Passes purchased from other distributors or third parties shall not be exchanged or refunded.

Conditions of use of the Vilnius Pass

5.1 The Vilnius Pass card is personal and may not be shared or transferred by the Buyer or User to others.

5.2 To use the Vilnius Pass, the User must carry it with him/her when using or purchasing goods or services from Vilnius Pass partners, as well as when using Vilnius public transport. If the User does not carry the Vilnius Pass, he/she shall not be able to benefit from the discounts and other advantages offered by the Vilnius Pass, and neither the User nor the Buyer shall be compensated for this.

5.3. If purchased online or via the mobile application, the card may be activated for the first time within 12 months from the date of purchase.

5.4. Vilnius Pass shall be activated by scanning its QR code at the first facility or by taking advantage of the first public transport discount. Depending on the type, it is valid for 24, 48 or 72 hours. The card must be presented by the User when visiting each of the places included in the Vilnius Pass list.

5.5 Each Vilnius Pass partner can be visited only once. If the card is purchased with a Vilnius public transport ticket, the use of public transport is unlimited during the validity period of the card. Special exhibitions may be subject to additional charges.

5.6 Vilnius Passes purchased online or on the mobile app can be returned by the Buyer if they have not been used, i.e. not activated at any of the attractions, within 30 days from the date of order. If there is a need to change the type of Vilnius Pass purchased online or on the mobile app, it should first be returned and a new one ordered. To take advantage of the money-back guarantee, the buyer must fill in this form. The cost of the return is the sole responsibility of the Buyer. The Seller shall process the refund request within 5 (five) working days. The amount to be refunded shall be credited to the Buyer's bank account used to purchase the Vilnius Pass.

5.8 The User shall use the Vilnius Pass responsibly and conscientiously, keep it in a safe place and not lose it.

5.9 The User must provide proof of identity to the Vilnius Pass partners upon request in order to verify the User's right to use the Vilnius Pass.

Privacy Policy

6.1 The following data of the Buyer is collected and processed when purchasing a Vilnius Pass: name and surname, email address, country of residence, time of purchase, types of tickets purchased.

6.2 When purchasing a Vilnius Pass, you are also asked, but not required, to provide the gender and age of the Buyer and/or User. In the light of this information, efforts are made to improve the services provided. This information is confidential and is not provided to third parties.

6.3 When purchasing a Vilnius Pass on the Vilnius Pass website or mobile application, only the Buyer's data is collected in accordance with Clause 6.1. Payment and bank card information is collected in the secure Stipe Checkout payment environment. The Seller does not have any direct access to the information collected by Stripe Checkout for the purpose of a smooth payment of the Vilnius Pass. 6.4 After the start of the use of the Vilnius Pass, the following User data is collected and processed: name and surname, dates of use of the card, and information on which partners the User of a particular Vilnius Pass card has visited and the timing of his/her visit.

6.5 By purchasing a Vilnius Pass, the Buyer agrees that the Seller may request feedback on the service and collect statistics on the use of the purchased Vilnius Pass.

Final provisions

7.1 These Terms and Conditions are drafted in accordance with the legislation of the Republic of Lithuania.

7.2 The law of the Republic of Lithuania shall apply to the relations arising from these Conditions.

7.3 Any disagreements arising out of the performance of these Conditions shall be settled by negotiation. If the User or the Buyer considers that his/her rights have been violated, the User or the Buyer must contact the Seller and submit his/her claim. The Seller will assess the User's or Buyer's claim within 10 working days from the date of the referral and will provide the requesting User or Buyer with a reasoned reply on the (non-)satisfaction of the claim. If the User disagrees with the Seller's decision, he/she shall also have the right to contact the Consumer Rights Protection Office (e-mail address: [email protected]). If the parties fail to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.

7.4 Amendments to these Terms and Conditions shall come into force within 30 (thirty) days of their publication on the govilnius.lt website or on the Vilnius Pass App and shall apply to all concluded and future contracts.
